Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between Iisivuokra Oy (Business ID 2755505-7), trading as SimpleSubscription ("SimpleSubscription", "we", "our", or "us"), and the merchant or business entity ("Merchant", "you", or "your") that installs, accesses, or uses the SimpleSubscription application, customer portal, merchant dashboard, public REST API, or any related services (collectively, the "Service").

By installing the Service from the Shopify App Store, signing up for an account, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not install or use the Service.

2. The Service

SimpleSubscription is a subscription management application for Shopify merchants. The Service enables Merchants to create subscription plans, manage subscription contracts, process recurring billing through Shopify, operate a customer portal, send subscription-related notifications, run referral and rewards programs, perform A/B testing, and access analytics and churn prediction features.

We may add, modify, or remove features from time to time. We will not make changes that materially reduce the core functionality of a paid plan without prior notice.

3. Eligibility

To use the Service you must (a) be at least 18 years old or the age of majority in your jurisdiction, (b) operate a Shopify store in good standing under Shopify's Terms of Service, (c) have the legal authority to bind the business entity you represent, and (d) not be barred from using the Service under any applicable law or by a prior termination by us.

4. Account & Shopify Connection

The Service is installed through the Shopify App Store and connects to your Shopify store using OAuth. You authorize us to access and process the data and scopes listed in the Shopify installation prompt and described in our Privacy Policy. You are responsible for maintaining the security of your Shopify credentials, dashboard credentials, and any API keys issued to you.

You must notify us promptly at [email protected] of any unauthorized use of your account or any other breach of security.

5. Fees, Billing & Free Plan

The Service is offered on subscription plans described on our pricing page at simplesubscription.app/pricing. Plans, included features, and any usage limits are as published on that page at the time of purchase.

Subscription fees for paid plans are billed through Shopify's billing API in accordance with Shopify's Partner Program Agreement. By upgrading to a paid plan you authorize Shopify to charge the fees to your Shopify account on a recurring basis until the plan is cancelled. Fees are exclusive of value-added tax (VAT) and any other applicable taxes, which will be added where required by law.

We do not charge transaction fees on subscription orders processed through the Service. Shopify's own payment processing fees, taxes, and third-party provider fees (e.g., SMS, email) apply independently and are your responsibility.

We may change pricing for any plan with at least 30 days' notice given via email or in-app notification. Continued use of a paid plan after the change takes effect constitutes acceptance of the new pricing.

6. Free Trial

If a free trial is offered with a paid plan, the trial duration and terms will be stated at sign-up. At the end of the trial the plan will convert to paid and Shopify will be authorized to bill the recurring fee unless you cancel beforehand. Free trials are limited to one per Shopify store unless we expressly state otherwise.

7. Refunds

Subscription fees are non-refundable except where required by applicable law or where we have made a material error (such as accidental duplicate billing). To request a refund in such cases, contact [email protected] within 30 days of the charge.

8. Acceptable Use

You agree not to, and not to permit any third party to:

  • Use the Service to violate any law, regulation, or third-party right
  • Use the Service to sell goods or services prohibited under Shopify's Acceptable Use Policy or applicable law
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by mandatory law
  • Resell, sublicense, rent, lease, or otherwise commercially redistribute the Service to a third party
  • Use the Service to send unsolicited bulk messages or otherwise violate anti-spam laws (CAN-SPAM, CASL, GDPR/ePrivacy, TCPA, etc.)
  • Attempt to gain unauthorized access to the Service, other Merchants' data, or our infrastructure
  • Submit content or data that is illegal, infringing, defamatory, malicious, or contains malware
  • Interfere with, disrupt, or impose an unreasonable load on the Service, including through abusive use of the public REST API or webhooks
  • Circumvent rate limits, usage limits, or plan tier restrictions
  • Use the Service to train machine-learning models or build a competing product

We may suspend or terminate your access to the Service if we reasonably believe you have violated this section, with notice where practicable.

Sanctions & export controls. You represent that neither you, your business, your beneficial owners, nor your Shopify store is located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions by the European Union, the United Nations, the United Kingdom, or the United States, and that none of the foregoing is on any EU, UN, UK, or US sanctions or restricted/denied-parties list. You will not use the Service in violation of applicable export-control or sanctions laws.

9. Merchant Responsibilities

You are solely responsible for your store, your products, the subscription plans you offer, fulfillment, customer service, taxes, refunds to your end customers, and compliance with all consumer-protection, subscription-specific (e.g., automatic renewal laws, "negative option" rules), data-protection, and marketing laws that apply to your business.

You must publish your own terms of service, privacy policy, and refund/cancellation policy to your end customers, and you must obtain any consents required to process their personal data and to send them email or SMS notifications. We act as a data processor on your behalf as described in our Privacy Policy.

10. Intellectual Property

The Service, including the software, source code, design, trademarks, logos, and documentation, is owned by SimpleSubscription and its licensors and is protected by copyright, trademark, and other intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for the duration of your active subscription.

You retain ownership of your store data, customer data, content, and any plans or configurations you create using the Service. You grant us a limited license to host, process, transmit, and display that data solely as necessary to provide the Service to you.

If you choose to give us feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service, without obligation to you.

11. Third-Party Services

The Service interoperates with Shopify and may also connect, at your option, to third-party services such as Stripe, WooCommerce, SendGrid, Postmark, Twilio, Nexmo/Vonage, AWS SNS, and others. Your use of those third-party services is governed by their own terms and pricing. We are not responsible for the availability, accuracy, or content of third-party services, or for any fees they charge you directly.

12. Data Processing & Confidentiality

Our collection, use, and protection of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy also serves as the data processing agreement between SimpleSubscription (processor) and the Merchant (controller) as required by the GDPR and similar laws.

Each party agrees to keep the other party's non-public business information confidential and to use it only as necessary to exercise rights or perform obligations under these Terms.

13. Service Availability & Support

We aim for high availability of the Service but do not guarantee uninterrupted or error-free operation. We may schedule maintenance windows and will make reasonable efforts to give advance notice of planned downtime that affects production features. The Service depends on the availability of Shopify and other third-party platforms; outages of those platforms are outside our control.

Technical support is provided by email at [email protected] during business hours (Monday to Friday, 09:00–17:00 Europe/Helsinki time, excluding Finnish public holidays). We aim to respond to inquiries within one business day but do not guarantee any specific response or resolution time unless agreed in a separate support agreement. Support covers issues with the Service itself; we are not obligated to debug issues arising from your Shopify theme code, third-party apps, or merchant-side custom integrations beyond reasonable best-effort assistance.

14. Beta Features

We may make beta, preview, or experimental features available from time to time. Such features are provided "as is", may be changed or removed at any time, and are excluded from any availability commitments. Do not rely on beta features for business-critical operations.

15. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy of data, or that the Service will be uninterrupted, secure, or error-free.

Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable mandatory law (including any non-waivable rights of consumers).

16. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, whether arising in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages.

Each party's aggregate liability arising out of or in connection with these Terms and the Service in any 12-month period will not exceed the greater of (a) the total fees paid by you to us for the Service in the 12 months preceding the event giving rise to the claim, or (b) one hundred euros (€100).

The limitations in this section do not apply to (i) either party's payment obligations, (ii) either party's indemnification obligations, (iii) breaches of confidentiality or intellectual-property rights, or (iv) liability that cannot be limited under applicable mandatory law.

17. Indemnification

You agree to defend, indemnify, and hold harmless SimpleSubscription and its affiliates, officers, employees, and agents from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service in breach of these Terms, (b) your products, content, marketing, or business operations, (c) your violation of any law or third-party right (including your end customers' rights), or (d) any dispute between you and your end customers.

18. Term & Termination

These Terms remain in effect for as long as the Service is installed on your Shopify store or you otherwise use the Service. You may terminate at any time by uninstalling the app from your Shopify admin and cancelling any active plan.

We may suspend or terminate your access immediately if you materially breach these Terms, if you fail to pay fees when due, if required by Shopify or by law, or if continued provision of the Service is no longer commercially viable for us. Where practicable we will give prior notice and a chance to cure.

On termination your right to use the Service ends and we will delete your store and customer data as described in the Privacy Policy. Before deletion, you may export your subscription contract data, customer data, and configuration via the public REST API or by emailing [email protected]. On request made within 30 days of termination we will provide a structured export (CSV or JSON) within 14 days, at no charge for one export per terminated account. Sections that by their nature should survive termination (including 7, 10, 12, 15, 16, 17, 19, 20, and 22) will survive.

19. Governing Law & Disputes

These Terms are governed by the laws of Finland, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any dispute arising out of or in connection with these Terms that cannot be resolved through good-faith negotiation will be submitted to the exclusive jurisdiction of the District Court of Helsinki, Finland, as the court of first instance, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual-property rights or confidential information.

If you are a consumer (rather than a business) resident in the European Union, nothing in this section deprives you of the protection of mandatory consumer-law provisions of the country of your habitual residence.

20. Force Majeure

Neither party will be liable for any delay or failure to perform under these Terms (other than payment obligations) caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications outages, denial-of-service attacks, pandemics, or failures of third-party platforms (such as Shopify).

21. Changes to These Terms

We may update these Terms from time to time. We will notify Merchants of material changes by email or in-app notification at least 30 days before they take effect, except where a faster change is required by law, by Shopify, or to address a security or compliance issue. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not accept a change, your remedy is to stop using the Service and uninstall the app.

22. Miscellaneous

These Terms, together with the Privacy Policy and any plan- specific terms presented at purchase, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the subject matter. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties.

Promotional use. We may identify you as a SimpleSubscription customer and use your store name, logo, and a high-level description of how you use the Service in our marketing materials, customer lists, case studies (with your approval), and on our website. You may opt out of this use at any time by emailing [email protected], after which we will remove the reference within 30 days from materials we control. This permission does not include any disclosure of your confidential business metrics.

Notices. Legal notices to SimpleSubscription must be sent to [email protected] with the subject line "Legal Notice". Notices to you may be sent to the email address associated with your Shopify store, to the merchant dashboard account email, or via an in-app notification, and are deemed received on the day sent.
